Terms of Service

These Terms of Service ("Terms") govern all website design, hosting, and managed maintenance services provided by Bayou Oak Web Design ("Bayou Oak," "we," "us") to client businesses ("Client," "you"). By signing a Statement of Work (SOW) or submitting payment, Client agrees to these Terms.

1. Scope of managed web services

Bayou Oak provides a managed website service designed to eliminate technical overhead for local trade and business operators:

• Standard Deliverables: Up to five (5) custom web pages plus a dedicated Privacy Policy page, built on Cloudflare edge infrastructure.
• Managed Model (Zero Dashboards): Client receives managed hosting, SSL security, contact form routing, and ongoing maintenance. Client does not receive backend CMS or server administrative credentials.
• External Tool Integration: Bayou Oak may link to Client's existing third-party portals (e.g., Toast, GlossGenius, Yardbook, SQUIRE) as standard links (MSA 1.2). Client remains solely responsible for third-party subscriptions and accounts. Custom database work is explicitly excluded.

2. Fees, billing & 24-month price lock

• Standard Launch Pricing: A one-time setup fee of $399.00 plus a recurring monthly subscription fee of $79.00/month. The first month's subscription is included at initial signup.
• 24-Month Price Guarantee: Under MSA Section 3.1, Client's $79.00/month subscription rate is strictly locked against price increases for twenty-four (24) consecutive months starting from the Service Commencement Date.
• Payment Methods: Subscription billing is processed automatically via credit card, debit card, Apple Pay, Google Pay, or Stripe Link through Stripe. ACH payments are not supported.
• Suspension & Cure Period: Under MSA Section 3.3, accounts unpaid after written notice plus a seven (7) calendar day cure period may undergo temporary site suspension until brought current.

3. Setup fee milestones & cancellation schedule

• Earning Milestone: Under MSA Sections 2.3 and 3.5, the upfront setup fee ($399.00) is fully earned upon delivery of the initial staging preview link (5–7 business days).
• Pre-Preview Cancellation: If Client cancels in writing before the staging preview link is delivered, Bayou Oak will retain $199.50 for labor and issue a partial refund of $278.50 from the initial $478.00 setup/month-1 payment.
• Month-to-Month Cancellation: Following launch, Client may cancel subscription services at any time with thirty (30) days written notice. Setup fees are non-refundable after preview link delivery.

4. Monthly maintenance & service level agreement (SLA)

• Included Maintenance: Every active subscription includes up to sixty (60) minutes of routine site edits per calendar month (e.g., text edits, photo replacements, menu updates). Unused minutes do not roll over.
• Request Channels & Turnaround: Edits must be submitted via email or text message. Routine requests are completed within three (3) business days of written receipt.
• Out-of-Scope Rates: Work exceeding the 60-minute limit or outside standard scope is billed at $75.00/hour with prior written Client approval.

5. Content ownership & intellectual property

• Client Content: Client retains full ownership of all logos, text, trademarks, and photographs provided. Client warrants they possess legal rights to all provided media.
• Provider IP & Code Buyout: Under MSA Section 6.2, Bayou Oak retains all rights and ownership to the underlying HTML/CSS source code, framework, and design architecture. Under MSA Section 7.2, Client may purchase a full compiled code export for a one-time buyout fee of $500.00 upon subscription termination.

6. Limitation of liability & precedence

• Limitation of Liability: Under MSA Section 8.1, Bayou Oak's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by Client to Provider during the three (3) months preceding the event giving rise to liability.
• Order of Precedence: If any provision of these Terms conflicts with a signed Statement of Work (SOW) or Master Services Agreement (MSA), the signed SOW/MSA shall control.

7. Governing law & contact information

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana. Venue for any legal proceedings shall reside in East Baton Rouge Parish, Louisiana.
